1. Definitions
For the purposes of these Terms and Conditions, the following terms carry the meanings set out below:
- "Agreement" — these Terms and Conditions together with any engagement letter or service proposal accepted by the Client.
- "We / Us / Our" — evasionroyales, a business advisory firm registered in Malaysia and operating from Suite 16-4, Menara TM, Jalan Pantai Baharu, 50672 Kuala Lumpur.
- "Client / You" — the construction firm or individual who engages evasionroyales services.
- "Service" — any advisory, review, drafting pilot, or retainer engagement described in the current service schedule.
- "Deliverable" — written briefs, summary memos, usage policies, or any document produced under a service engagement.
- "Project Documents" — RFIs, submittals, variations, site correspondence, and related construction records provided by the Client.
- "CIDB" — the Construction Industry Development Board Malaysia.
2. Acceptance of Terms
By engaging evasionroyales through an inquiry form, email, or signed service proposal, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
Engagement is only available to organisations or individuals who are at least 18 years of age and who have the legal authority to enter into binding contracts on behalf of their firm. If you are acting on behalf of a company, you confirm that you hold authority to bind that company.
Continued use of our services after any update to these terms constitutes acceptance of the revised Agreement.
3. Service Description
evasionroyales provides AI-assisted advisory services for construction document management. Our current service schedule includes:
SVC-001
Site Process Review
A two-week study of one active project, covering RFI, variation, and submittal workflows. Deliverable is a written brief adapted to CIDB requirements. — RM 1,260
SVC-002
RFI & Submittal Drafting Pilot
A six-week supervised deployment of AI drafting assistance. All document issuance remains subject to human review and confirmation. — RM 5,180
SVC-003
Project Stewardship Retainer
Monthly advisory engagement including output sampling, document trail audit, and written briefs aligned with CIDB, PAM, and BEM circulars. — RM 4,820/month
Services are available to construction firms operating in Malaysia. Geographic and project-type eligibility may apply to specific service tiers.
4. Engagement & Scope
Each service engagement begins upon receipt of a signed proposal or written confirmation from the Client. The scope, timeline, and deliverables are set out in the individual service proposal.
Any expansion of scope beyond the agreed engagement must be agreed in writing before additional work commences. We will not undertake scope expansions on a verbal basis alone.
Our access to project documents is read-only for pilot engagements. We do not issue, file, or distribute documents on behalf of the Client. All issued correspondence remains the Client's responsibility.
5. Client Responsibilities
To support a productive engagement, the Client agrees to:
- Designate a primary contact person — typically the project director or contracts manager — for liaison throughout the engagement.
- Provide access to relevant project documents in a timely manner, in the formats agreed at engagement start.
- Ensure that any document issued following AI-assisted drafting has been reviewed and confirmed by a qualified human team member before distribution.
- Not use AI-generated drafts as final documents without human review and sign-off.
- Comply with applicable Malaysian laws, CIDB regulations, and professional body guidelines in all construction activities.
- Refrain from using evasionroyales's deliverables to replace licensed professional advice where such advice is legally required.
Prohibited conduct: Misrepresenting draft outputs as professionally certified; sharing service deliverables outside the Client organisation without prior written consent; attempting to access or modify our systems or tools.
6. Intellectual Property
All methodologies, tools, prompt frameworks, and proprietary processes used by evasionroyales remain our intellectual property. These are not transferred to the Client under any service engagement.
Deliverables — written briefs, usage policies, and summary memos — produced specifically for the Client under a paid engagement are licensed to the Client for internal business use on a non-exclusive, non-transferable basis.
The Client retains ownership of all project documents and site records provided to us. We do not claim any rights over Client-owned materials.
7. Payment Terms
All fees are quoted and payable in Malaysian Ringgit (RM). Applicable taxes are not included in listed prices unless stated otherwise.
Payment Schedule
- Site Process Review (RM 1,260): Full payment upon engagement confirmation.
- RFI & Submittal Pilot (RM 5,180): 50% at engagement start, 50% at week three.
- Stewardship Retainer (RM 4,820/mo): Monthly in advance, due on the first working day of each month.
Payment methods accepted: bank transfer to the account details provided in your service proposal. Invoices are issued via email to the designated billing contact.
Refunds: If an engagement is cancelled by the Client before commencement, fees paid will be returned less any documented preparatory costs. No refunds are issued for work already completed. Service credits may be offered at our discretion for engagements cancelled at our initiative.
8. Confidentiality
Both parties agree to treat all project documents, pricing, and business information shared during an engagement as confidential. Neither party will disclose the other's confidential information to third parties without prior written consent.
We will handle Client project documents with care. Documents shared with us are used solely for the delivery of the agreed service and are not shared with other clients or third parties, except where required by law.
This confidentiality obligation survives the conclusion of any engagement for a period of two years.
9. Disclaimers
Services are provided on an "as-is" advisory basis. evasionroyales offers AI-assisted document analysis and advisory support; we are not a licensed engineering firm, legal firm, or quantity surveying practice.
Our deliverables are intended to support qualified construction professionals in their decision-making — not to replace professional judgement or licensed certifications. You retain full responsibility for any documents issued, contracts entered into, and construction decisions made.
No specific outcomes are warranted. AI-assisted drafts may contain errors or omissions and must be reviewed by competent personnel before use.
10. Limitation of Liability
To the extent permitted under Malaysian law, our aggregate liability to the Client for any claim arising from or related to a service engagement shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim.
We shall not be liable for indirect, consequential, or incidental losses, including but not limited to loss of contracts, project delays, regulatory penalties, or damage to professional standing.
We are not liable for outcomes arising from the Client's use of AI-generated drafts without adequate human review, or for the Client's failure to comply with applicable professional or regulatory requirements.
11. Indemnification
The Client agrees to indemnify and hold evasionroyales harmless against any claims, costs, or liabilities arising from:
- The Client's use or misuse of deliverables in ways that exceed the scope of the licence granted.
- Issuance of AI-assisted documents without adequate human review or professional sign-off.
- Breach of these terms by the Client or its team members.
- The Client's failure to comply with applicable laws or professional regulations.
12. Termination
Either party may terminate an engagement by providing 14 days written notice. For monthly retainers, termination takes effect at the end of the then-current monthly period.
We may terminate immediately if the Client breaches a material term of this Agreement, fails to pay within 14 days of the due date, or engages in conduct that causes reputational or legal harm to evasionroyales.
On termination, the Client retains access to all deliverables produced and paid for up to the termination date. Outstanding fees for work completed remain payable.
13. Dispute Resolution
This Agreement is governed by the laws of Malaysia. In the event of a dispute, both parties agree to first attempt resolution through good-faith discussion within 21 days of one party notifying the other of a dispute.
If informal resolution is unsuccessful, the dispute shall be referred to mediation administered by the Malaysian Mediation Centre before any court proceedings are commenced.
Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Malaysia, with Kuala Lumpur as the preferred venue.
14. General Provisions
- Entire Agreement: This Agreement, together with any signed service proposal, constitutes the entire understanding between the parties and supersedes prior discussions.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure by either party to enforce a provision does not constitute a waiver of the right to enforce it subsequently.
- Assignment: The Client may not assign or transfer rights under this Agreement without prior written consent from evasionroyales. We may assign our obligations to a qualified successor entity.
- Notices: Written notices under this Agreement may be delivered by email to the designated contacts confirmed at engagement start.
15. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements, or operational practices. Material changes will be communicated by email to active clients at least 14 days before they take effect.
Continued engagement with our services after the effective date of any revision constitutes acceptance of the updated terms. If you do not agree to a revision, you may terminate your engagement in accordance with Section 12.
